As a reality developed only in recent years, thanks to new technologies, it attracts a few curiosity and questions. But what is a start-up?
This term means companies, including small companies, which are distinguished in order to carry out research, production and marketing activities of high-content innovative products and services and technological value.
These companies have their own characteristics such as a minimum duration of 5 years, since the start-up status is only temporary.
This means that this period is mainly geared to the exploitation of resources invested in the development of an innovative product or service. To this end, the State reserves special facilities for the purpose of achieving innovative and highly technological ideas.
Another of the key features for a start-up is scalability. This must also make it possible to increase its volumes in relatively short time. So its growth potential is considerable despite the number of resources, it is quite limited. Furthermore, the start-up responds to a market requirement, therefore, it is important that it responds to the demand for innovation.
But what does it take to start a start-up?
Having an innovative and technological idea is the basis for developing its start-up.
But that is not enough, because it also needs to be associated with a good business plan, which represents the objectives of the company and its business model.
But before we start it, we must check that there are the necessary requirements.
The start-up must have a form of company (Srl, Spa or Cooperative Society), which cannot be an individual company or belong to a business branch or derives from the transfer of assets.
It cannot be quoted on the stock exchange and must have its registered office in Italy, in an EU State or in a Member State which has acceded to the Agreement on the European Economic Area. Its total turnover, over the five years of activity, may not exceed EUR 5 million and profits cannot be divided before the start-up is not deleted from the register. The following are also added to those indications concerning the minimum share to be allocated to project development and research, the level of staff qualification and the availability of an industrial private security such as copyright and patents.
Once these requests are assessed, the drafting and subscription of a constitutional act and a statute will be carried out. Subsequently, the company must be registered with the Revenue Agency by a notary. There is, however, an alternative to this. In fact, only and exclusively in the event of a SRL, a company can be established through the specific online portal available on the Infocamre Platform with its “Start-up” service. The statutes and constitutional act shall be drawn up after the registration process.
At this point, it will only have to register its company to the Enterprise Agency and the Enterprise Register.
Creating a start-up is not complicated: what matters is a good idea and someone to help you make it happen and know how to do it.
